These Terms and Conditions (“Terms”) govern your access to and use of the website www.odinovainternational.in (“Platform”) and the services offered by Odinova International Healthcare & Research Pvt. Ltd. (“Odinova International”, “Company”, “we”, “us”, or “our”).

By accessing, browsing, or using the Platform, you (“User”, “you”, or “your”) agree to be bound by these Terms, our Privacy Policy, and all other applicable policies. If you do not agree, you must not use the Platform.

1. Eligibility

1.1 Legal Capacity

You represent and warrant that:

• you are at least 18 years of age;
• you are legally competent to contract under the Indian Contract Act, 1872;
• you are not disqualified from entering into contracts under applicable law.

1.2 Minors

Persons below 18 years may access the Platform only under the supervision of a parent or legal guardian. All transactions by minors must be conducted through a registered parent or guardian.

1.3 Account Restrictions

You must not:

• have been previously suspended or removed from the Platform;
• create multiple or fraudulent accounts;
• use another person’s account without authorization.

Odinova International reserves the right to suspend or terminate accounts found to violate eligibility conditions.

2. Nature of Services

2.1 Scope of Services

The Platform facilitates the display, marketing, sale, and delivery of healthcare and wellness products, including but not limited to:

• Prescription medicines (subject to valid prescription and applicable law)
• Over-the-counter (OTC) drugs
• Vitamins, supplements, and nutraceuticals
• Personal care and wellness products
• Ayurvedic and herbal products
• Healthcare devices and consumables
• FMCG and allied healthcare products

2.2 Regulatory Compliance

• Prescription medicines shall be dispensed only upon receipt and verification of a valid prescription issued by a Registered Medical Practitioner (RMP).
• All dispensing is carried out under the supervision of a licensed pharmacist in accordance with applicable laws.
• Odinova International reserves the right to reject any order that does not comply with regulatory requirements.

2.3 Restricted Products

The Company does not sell Schedule X drugs or any prohibited substances on the Platform.

3. User Obligations and Conduct

3.1 Accuracy of Information

You agree to provide true, accurate, current, and complete information, including:

• personal details
• delivery address
• health information
• prescription data

You acknowledge that inaccurate or incomplete information may result in:

• order rejection
• delivery failure
• service limitation

3.2 Account Security

You are solely responsible for:

• maintaining confidentiality of login credentials
• all activities conducted through your account

Odinova International shall not be liable for unauthorized access arising from your failure to safeguard credentials.

3.3 Permitted Use

You agree to use the Platform solely for lawful purposes and for personal use only.

3.4 Prohibited Activities

You shall not:

• reproduce, duplicate, copy, sell, or exploit any portion of the Platform;
• reverse engineer, hack, or interfere with Platform functionality;
• use the Platform for commercial resale or distribution of products;
• upload forged, altered, or invalid prescriptions;
• upload the same prescription multiple times unless re-issued by an RMP;
• impersonate any individual or misrepresent identity or age;
• engage in fraudulent transactions or misuse payment instruments;
• attempt unauthorized access to systems or data;
• use automated tools, bots, or scraping mechanisms.

Violation may result in suspension, termination, and legal action.

4. Orders, Delivery & Fulfilment

4.1 Order Acceptance

All orders are subject to:

• product availability
• prescription validation (if applicable)
• payment authorization
• serviceability of location

Odinova International reserves the right to refuse or cancel any order without prior notice.

4.2 Delivery Timelines

Delivery timelines are indicative and non-binding. Delays may occur due to:

• logistics constraints
• stock availability
• weather or force majeure events

4.3 Delivery Conditions

You agree that:

• a responsible adult must be present to accept delivery;
• accurate address details must be provided;
• unattended delivery is not permitted.

Odinova International shall not be responsible for non-delivery due to incorrect address or recipient unavailability.

4.4 Partial Cancellation

If an order cannot be shipped within 36 hours, the unshipped portion may be cancelled and refunded.

4.5 Geographic Limitation

All deliveries are restricted to serviceable locations within India. International delivery is not available.

5. Medicine Orders & Prescription Policy

• A valid prescription from a Registered Medical Practitioner (RMP) is mandatory for prescription medicines.
• Prescriptions must comply with applicable legal and regulatory standards.
• Odinova International reserves the right to:

  • request additional information;
  • reject non-compliant prescriptions.

Orders may be cancelled if prescriptions are:

• invalid
• illegible
• expired
• suspected to be fraudulent

6. No Return, No Refund, No Exchange Policy

6.1 General Rule

All sales on the Platform are final. No return, refund, or exchange shall be permitted once the order has been delivered and accepted.

6.2 Sole Exception — Shipment Damage (Replacement Only)

Replacement may be provided only if:

• the issue is reported within 24 hours of delivery;
• clear photographic or video evidence is submitted;
• the product is unused;
• original packaging, seals, and labels are intact.

Upon verification:

• only replacement of the same product will be provided (subject to availability);
• no monetary refund shall be issued.

The Company’s decision regarding verification and eligibility shall be final.

6.3 Non-Eligible Cases

No claims shall be entertained for:

• opened, used, or tampered products;
• delayed reporting beyond 24 hours;
• dissatisfaction with product efficacy;
• change of mind;
• delivery delays;
• temperature-sensitive medicines and restricted categories.

7. Prohibited Content

You shall not upload, post, or transmit any content that:

• is unlawful, harmful, defamatory, obscene, or fraudulent;
• violates intellectual property rights;
• breaches applicable Indian laws.

Odinova International reserves the right to remove such content and terminate access without notice.

8. Indemnity

You agree to indemnify and hold harmless Odinova International, its directors, officers, employees, agents, pharmacists, and affiliates from any claims, losses, damages, liabilities, costs, or expenses arising out of:

• your breach of these Terms;
• submission of false or invalid prescriptions;
• misuse of payment methods;
• violation of applicable laws;
• unauthorized use of the Platform.

9. Limitation of Liability

To the maximum extent permitted by law:

• Odinova International shall not be liable for indirect, incidental, consequential, or punitive damages;
• total liability shall not exceed the value of the product forming the basis of the claim;
• claims must be raised within one (1) year from the date of cause of action;
• the Platform and Services are provided on an “as is” and “as available” basis without warranties of any kind.

10. Intellectual Property Rights

All content on the Platform, including but not limited to:

• trademarks
• logos
• text
• graphics
• software
• brand names such as “Odinova International” and “Care for You”

are the exclusive property of Odinova International Healthcare & Research Pvt. Ltd.

Unauthorized use, reproduction, or distribution is strictly prohibited.

11. Suspension and Termination

Odinova International reserves the right to:

• suspend or terminate your account;
• restrict access to the Platform;
• cancel orders

without prior notice for:

• violation of these Terms;
• suspected fraud or misuse;
• legal or regulatory requirements.

12. Force Majeure

Odinova International shall not be liable for failure or delay in performance due to events beyond its reasonable control, including but not limited to:

• natural disasters
• pandemics
• strikes
• government actions
• system failures
• logistics disruptions

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India.

All disputes shall be subject to the exclusive jurisdiction of courts located in Kolkata, West Bengal, India.

14. Grievance Redressal

15. Amendments

Continued use of the Platform after such changes constitutes your acceptance of the revised Terms.
